Terms and Conditions of Wholesale Business
Orders with Proenza Home Ltd (PHL)
You become a Proenza Wholesale Customer when you register a wholesale account with Proenza Home Ltd, and your registration is approved. You may then place an Order with Proenza Home Ltd upon these Terms and Conditions. Proenza’s minimum Order (per store/location) is £250.00 excluding VAT and delivery for all new Orders.
There is a minimum Order of two units per style.

Cancellations

You have the right to cancel your Order within 5 days of placement. You must give, and Proenza Home Ltd must receive, written notification of cancellation of your Order by email to info@proenzajewellery.com. If you cancel your Order after this time period you must pay a cancellation fee which shall be 20% of the total Order value.
PHL has the right to cancel your Order or any part of it at any time, for example if we are unable to fulfil all or any part of your Order.

Delivery

Standard delivery charges apply on Orders up to £350.00. Delivery on Orders over £350.00 within the UK is free.
Delivery and time frames will be determined at the time an Order is placed. This can be anywhere between 2 - 12 weeks. If you require delivery by a certain date, please discuss this when placing your Order and we will do our best to meet your needs. Special Orders will be dispatched within 48 - 72 hours from payment of goods.
If you choose to split your Orders, then standard shipping charges will be applied to each Order. If we have to put some items on back order as we are awaiting the stock, then we will cover the extra shipping cost.
All orders will be shipped via overnight courier or Royal Mail.

Shortfalls

If, on receipt of your Order, there is a shortfall in goods ordered, you must notify PHL within 3 days of delivery. If possible, we will send you replacements; otherwise, a credit will be applied to your account.
If PHL is unable to supply any part or all of your Order, we will notify you and send replacements where possible or apply a credit to your account. Our total liability to you in any event, shall not exceed the price paid by you for the relevant part of your Order.

Payment

When you place an Order, PHL will send you an Invoice and you must pay the total sum owing by the date set out on the Invoice. PHL will not ship your Order before the Invoice has been paid in full and monies have cleared. Payment can be made by credit card, debit card, Sagepay, or BACS payment.
Your first three PHL Orders must be pre-paid via proforma invoice; we are not able to offer Account Customer Terms until you have placed three Orders.

Account Customers

After the qualifying three Orders, PHL may choose to offer you different payment terms by arrangement in writing. We reserve the right to cancel these payment terms immediately and revert to proforma invoicing in accordance with these Wholesale Terms of Business, if you fail to comply with any part of this Agreement including the payment terms.

Exclusivity

PHL retains absolute discretion to decide if a customer will be offered exclusivity on a product or range of products. We will assess suitability by determining the proximity of your store to other stockists in the area. Proximity and Exclusivity will be evaluated case by case and is dependent on your store’s location, as well as regularity and quantity of orders. If we decide to offer you Exclusivity, we will do so in writing and set out the extent of your exclusivity and period of time that the Exclusivity will last.
We are careful to protect and not to over expose our brand in a given area, our eclectic and diverse range of products allows us the flexibility to offer each store a unique selection. Where Customers have more than one branch of store, we require an order of £500 per branch per season to guarantee Exclusivity in that location for that product and that season.
If you do not place a new Order within six months of your previous order, PHL will consider your Exclusivity automatically terminated.

Prices

Prices shown on the wholesale section of our website will be exclusive of tax. We reserve the right to alter these prices at any time unless prior invoiced. All goods come with an RRP and you must not price goods at an amount less than the RRP stated.

Copyright and Images

The words and images on the PHL website, documentation, and publicity are owned by Proenza Home Ltd and subject to copyright. If you would like to use any of our images for promotional purposes, please ask us first. You must not use any images or words without our prior written permission. Please email us and we can arrange for some images to be sent to you.  All intellectual property rights in connection with any of the Goods shall be owned by Proenza Home Ltd.

Returns

We do our very best to ensure that all our goods are perfect. If you find any problems, please report in writing or by email within 10 days of receipt of the goods. Please do not return goods before contacting PHL, so we can authorise your return. Should we ask you to return goods, you must obtain a postage receipt that will then be credited against your account. We will endeavour to replace the item where possible; we will not refund goods that have been misused, or that are not in their original packaging.

Handmade
PHL products are handmade individually and carefully inspected by us prior to dispatch. There may be slight differences in colour, shape or size due to this nature; the buyer accepts this when the order is placed. It will not be a considered fault and therefore no credit will be issued.

 

Product care
All jewellery is gold or silver plated on a base metal, usually brass. All jewellery is hypo-allergenic and free of nickel. We advise that no perfume, cleaning chemicals or strongly scented moisturisers are put on as this may cause discolouration of the product. PHL cannot be held responsible for this and will not accept returns for this cause.

Special Commissions

Special commissions or custom colour combinations placed with PHL are non-refundable and a deposit must be paid before manufacture commences.

Packaging

All products can be sold with bespoke ‘Proenza’ packaging; appropriate fees will apply

Privacy Policy

Any personal information that you provide to us including your name, address, telephone number and email address will be treated confidentially and will not be released, sold or rented to any entities or individuals outside of Proenza Home Ltd. We do however reserve the right to list your store's contact details in listed stockists on our website or to provide these details to a potential customer upon request. We do not collect or record any credit card details you may provide when purchasing products from proenzajewellery.com.  Your credit card details are securely passed to and processed by our Payment Processor. Law and Jurisdiction
This Agreement is governed by, and shall be construed in accordance with the law of England and Wales, and is subject to the exclusive jurisdiction of the courts of England and Wales.
